Entity: Mind Colony Limited (trading as EnergiEase, “Company”, “we”, or “us”)

1. Agreement to Terms
By initiating a conversation with the EnergiEase WhatsApp bot (+234 913 993 2585), accessing our website (https://energiease.ng), initiating a bank transfer or card checkout, or utilizing any of our automated utility vending features, you (“Customer”, “User”, or “you”) acknowledge that you have read, understood, and agreed to be legally bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.
2. Legal Capacity & Eligibility
You represent and warrant that:
- You are at least eighteen (18) years of age under Nigerian law.
- You possess the legal capacity to enter into a legally binding contract.
- You are authorized to purchase electricity tokens for the prepaid or postpaid meter number you submit.
- All details submitted during your transaction are accurate and authentic.
3. Nature of Service: Independent Technology Intermediary
Important Regulatory Clarification:
EnergiEase is an independent financial technology and utility vending intermediary. EnergiEase is NOT an electricity distribution licensee (DISCO), a power generating company (GENCO), or the Transmission Company of Nigeria (TCN).
We do not generate or distribute physical electricity. We provide secure digital automation that connects consumers with licensed electricity distribution companies (AEDC, EKEDC, IKEDC, IBEDC, EEDC, PHED, KEDCO, JED, KAEDCO, BEDC, YEDC, APLE) and payment switches to facilitate meter verification, payment settlement, and 20-digit token delivery.
4. Tariffs, Units (kWh) & NERC Regulations
Tariff Determination: Electricity tariffs and service bands are strictly regulated by the Nigerian Electricity Regulatory Commission (NERC) under the Multi-Year Tariff Order (MYTO) and your registered DISCO service classification.
Unit Computations: EnergiEase does not calculate, modify, or determine the number of kilowatt-hour (kWh) units allocated for your recharge amount. All unit allocations, statutory Value Added Tax (VAT of 7.5%), and outstanding arrears deductions (on postpaid or migrated debt profiles) are determined directly by your DISCO’s automated billing servers.
5. Customer Duty: Meter Verification & Non-Refundability
Mandatory Verification Warning:
Prior to payment, our WhatsApp bot automatically queries the national DISCO database to present the registered customer name, DISCO, and address associated with the meter number you typed. You have the sole and non-delegable duty to verify that the displayed customer name and DISCO match your intended meter before completing payment.
Once payment is verified and a 20-digit token has been issued by the DISCO, THE TRANSACTION IS PERMANENT, IRREVERSIBLE, AND NON-REFUNDABLE under national DISCO technical architecture. Tokens cannot be transferred to another meter. EnergiEase is not liable for errors in meter numbers provided by the customer.
6. Payment Channels & Dedicated Virtual Accounts
EnergiEase supports payment via dynamically generated single-use virtual bank accounts (transferable from any Nigerian commercial bank or fintech app including OPay, PalmPay, Kuda, Moniepoint, GTBank, Zenith) as well as debit card checkout.
Virtual accounts are generated exclusively for your specific order reference. You must ensure you transfer the exact transaction amount. Payments are processed through CBN-licensed, PCI-DSS Level 1 compliant payment switches.
7. Zero-Stuck-Payment Protection & Queue Fulfillment
In the event that an electricity distribution company undergoes national grid downtime, vending gateway maintenance, or network latency at the moment of payment:
- Your payment is verified and held securely in trust against your order reference.
- Your transaction is queued in our automated fulfillment engine.
- The token is vended and dispatched to your WhatsApp chat immediately when the DISCO server restores connectivity.
- If a DISCO remains continuously offline for more than twenty-four (24) hours, you may request a refund to your originating bank account by emailing support@energiease.ng.
8. Key Change Tokens (KCT) & Meter Hardware Errors
TID Rollover (KCT): Where a meter requires Key Change Tokens (KCT 1 & KCT 2) for standard firmware compliance, both KCT sequences must be entered into the meter keypad prior to inputting the 20-digit energy token.
Hardware Faults: Physical meter keypad errors (e.g. “Reject”, “Error 30”, “Tamper”, or dead batteries) are hardware issues governed by your DISCO. While our bot offers general diagnostic guidance, physical resets or replacements must be carried out by your DISCO's authorized engineers.
9. Official PDF Receipts
Every successful vending transaction generates an official NERC-compliant digital receipt detailing the customer name, meter number, DISCO, transaction reference, amount paid, VAT breakdown, units (kWh), and official DISCO emergency hotline. Official receipts are downloadable via WhatsApp and our web portal.
10. Prohibited Activities
You agree not to:
- Engage in money laundering, illicit financial flows, or activities in violation of the Money Laundering (Prevention and Prohibition) Act 2022.
- Use automated bots, web scrapers, or reverse-engineering tools against our WhatsApp webhooks or backend services.
- Impersonate any individual, corporate body, or electricity distribution company.
- Abuse, harass, or threaten our automated or human customer support personnel.
11. Limitation of Liability
To the fullest extent permitted by Nigerian law, Mind Colony Limited (and its operating brand EnergiEase), its directors, employees, and agents shall not be liable for any indirect, incidental, special, punitive, or consequential damages (including business loss, generator running costs, perishable inventory damage, or power loss) arising from delayed vending caused by national grid failure, DISCO server downtime, or interbank transmission network latency.
Our aggregate maximum liability for any claim arising out of a transaction is strictly limited to the transaction fee retained by EnergiEase on that specific transaction or ₦5,000 (whichever is lower).
12. Dispute Resolution & Arbitration
Amicable Resolution: Any dispute arising out of or related to these Terms shall first be submitted to good-faith amicable negotiation by written notice to legal@energiease.ng within thirty (30) business days.
Binding Arbitration: If the dispute cannot be settled amicably, it shall be referred to and finally resolved by binding arbitration under the Arbitration and Mediation Act 2023 of the Federal Republic of Nigeria. The seat of arbitration shall be Lagos State, Nigeria, conducted in the English language before a single arbitrator appointed in accordance with the Act.
